Terms of Service
These Terms govern your use of Vroom's websites, apps, and related services (the "Services"). By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Nature of the Services
Vroom operates an online marketplace that helps vehicle owners ("Owners") and renters ("Renters") find each other and arrange private vehicle rental agreements. Unless we say otherwise in a separate signed agreement, Vroom is not a rental car company, insurer, broker, or fleet operator. Vroom does not take possession of vehicles and does not guarantee the safety, legality, roadworthiness, insurance status, or suitability of any vehicle or user.
2. Insurance and compliance are the Owner's responsibility
Each Owner is solely responsible for ensuring that every vehicle they list is lawfully insured, registered, inspected, taxed (where applicable), and operated in compliance with all laws and policy requirements in every jurisdiction where the vehicle is listed, stored, driven, or rented. That includes maintaining valid motor liability and any other coverage that applies to peer‑to‑peer or commercial rental use (as your insurer and regulator require). Renters must comply with applicable law and their own obligations (including any conditions imposed by the Owner or their insurer).
Vroom does not warrant that any uploaded certificate, policy number, or third‑party confirmation proves continuous or adequate coverage. Optional tools or document uploads on the platform are for convenience and fraud deterrence only; they do not replace legal advice or underwriting by a licensed insurer.
3. Renters
Renters acknowledge that vehicles are provided by independent Owners, not by Vroom. Before driving, Renters must satisfy themselves as to insurance, vehicle condition, license requirements, and local rules. Use of the vehicle is at the Renter's own risk except where mandatory law provides otherwise.
4. Limitation of liability
To the maximum extent permitted by applicable law, Vroom and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses, arising from or related to your use of the Services, any rental, any vehicle, or any interaction between users — including personal injury, death, property damage, theft, fines, coverage denials, or uninsured losses — whether or not Vroom was advised of the possibility of such damages.
To the maximum extent permitted by law, Vroom's aggregate liability for any claim arising out of or related to the Services or these Terms shall not exceed the greater of (a) the fees you paid to Vroom for the specific booking giving rise to the claim, in the twelve (12) months before the event, or (b) one hundred U.S. dollars (USD $100), except where prohibited by law. Some jurisdictions do not allow certain limitations; in those jurisdictions, Vroom's liability is limited to the fullest extent still permitted.
5. Indemnity
You agree to defend, indemnify, and hold harmless Vroom and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your vehicles, listings, or rentals; (c) your breach of these Terms or applicable law; (d) personal injury, death, or property damage involving your vehicle or your rental; (e) insurance disputes, coverage gaps, exclusions, or denials; or (f) your violation of any third party's rights.
6. Disclaimers
The Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non‑infringement. Vroom does not warrant that the Services will be uninterrupted, error‑free, or free of harmful components.
7. Changes; entire agreement
We may update these Terms from time to time. We will post the updated version and may change the version date above. Continued use after changes constitutes acceptance of the revised Terms. If a change is material, we may provide additional notice where required by law. These Terms constitute the entire agreement between you and Vroom regarding the subject matter here and supersede prior understandings on that subject.
8. Governing law and disputes
Replace this section with jurisdiction‑specific rules after counsel review (e.g. binding arbitration vs courts, venue, and consumer rights in Jamaica or other markets). Until then, you agree that any dispute shall be resolved in the courts of the jurisdiction Vroom designates in writing, and you consent to personal jurisdiction there.
Not legal advice. These Terms are a product and engineering placeholder. Have a qualified transportation and insurance lawyer adapt them for your operating countries, product insurance strategy, and Stripe/marketplace obligations before relying on them in production.
